By accessing or using the Reshore website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

2. Description of Services

Reshore provides a manufacturing brokerage platform that connects US companies with vetted manufacturers in Mexico. Our Services include factory matching, pricing analysis, USMCA compliance assessment, contract facilitation, and production coordination.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using our Services, you represent and warrant that you meet these requirements.

4. Account Registration

Certain features of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to circumvent Reshore to deal directly with manufacturers introduced through our platform
• Submit false, misleading, or inaccurate information
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated systems to access the Services without our written permission

6. Fees and Payment

Reshore charges fees tied to manufacturing contracts and purchase orders facilitated through our platform. Specific fee structures are outlined in individual service agreements. All fees are due as specified in the applicable agreement and are non-refundable unless otherwise stated.

7. Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, and software — are owned by Reshore and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of using the Services, including but not limited to technical specifications, pricing, manufacturing processes, and business strategies.

9. Limitation of Liability

To the maximum extent permitted by law, Reshore shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Reshore does not guarantee the quality, reliability, or performance of any manufacturer in our network, though we maintain rigorous vetting standards.

11. Indemnification

You agree to indemnify and hold harmless Reshore, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, upon notice. Upon termination, your right to use the Services ceases immediately, though provisions that by their nature should survive termination will remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
