1. Acceptance of these Terms
These Terms of Service ("Terms") govern your use of the Reshore website at reshore.com (the "Website"). By using the Website, you agree to these Terms. If you do not agree, do not use the Website.
2. About Reshore
Reshore offers two products to manufacturers in North America:
- Advanced Factoring: advances on purchase orders and invoices, from purchase order to buyer payment.
- Reshore IQ: a workflow automation and analytics platform that enters purchase orders, invoices and payments into your ERP and shows where to improve.
The Website describes these products for information only. Nothing on the Website is an offer of credit, a commitment to provide financing, or an offer to provide any other service.
Reshore is a commercial company. Financing is for businesses only and is subject to credit approval and a signed agreement. Data licenses and data partnerships are subject to a separate agreement.
3. Eligibility
Our products are for businesses, not for personal or household use. To use the Website on behalf of a business, you must be at least 18 years old and authorized to act for that business. Availability of each product depends on credit approval and applicable law.
4. Applications
When you send the application form, you ask us to contact you about Advanced Factoring, Reshore IQ, or both. Sending an application does not create an agreement and does not oblige you or Reshore to do business together. You agree that the information you send is accurate and complete. We may verify it, ask for more information, and decline any application.
5. Separate agreements
Advanced Factoring, Reshore IQ and any license of your data to Reshore are each governed by a separate signed agreement. If a separate agreement conflicts with these Terms, the separate agreement controls for that product.
6. Rates and fees
Using the Website is free. Rates, fees, advance amounts and repayment terms are set only in a signed agreement, after credit approval where it applies. Statements on the Website, such as a better rate or repayment cycles of up to 120 days, describe how our products work. They are not a quote or an offer.
7. Acceptable use
You agree to use the Website only for lawful purposes. You agree not to:
- Use the Website in a way that violates any law or regulation
- Send false, misleading or incomplete information, or apply on behalf of a business without authority
- Interfere with or disrupt the Website or its servers
- Try to gain unauthorized access to any part of the Website or our systems
- Use bots, scrapers or other automated tools to access the Website without our written permission
- Copy, reverse engineer or decompile any part of the Website
8. Intellectual property
The Website and its content, including text, graphics, logos, the Reshore, Advanced Factoring and Reshore IQ names, and software, belong to Reshore or its licensors and are protected by intellectual property laws. You may not copy, distribute or create derivative works from them without our prior written consent.
9. Information you send us
We handle the personal information you send through the Website as described in our Privacy Policy. Please do not send confidential technical documents or trade secrets through the Website. A confidentiality obligation between you and Reshore starts only when we both sign a confidentiality agreement or a product agreement.
10. No financial, legal or tax advice
Content on the Website, including our blog, is general information. It is not financial, legal, tax or accounting advice. Talk to your own advisers before you make decisions for your business.
11. Disclaimer of warranties
The Website is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Website will be uninterrupted, error free or secure.
12. Limitation of liability
To the maximum extent permitted by law, Reshore is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities, arising out of or related to your use of the Website.
13. Indemnification
You agree to indemnify and hold harmless Reshore and its officers, directors, employees and agents from any claims, damages, losses or expenses arising out of your use of the Website or your violation of these Terms.
14. Third-party websites
The Website may link to websites that we do not control. We are not responsible for their content or practices.
15. Suspension of access
We may suspend or end your access to the Website at any time if you violate these Terms. Sections that by their nature should continue to apply, such as intellectual property, disclaimers, limitation of liability and indemnification, survive.
16. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute will be resolved in the courts of Delaware.
17. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. If you keep using the Website after an update, you accept the updated Terms.
